Terms of Service

These Terms of Service ("Terms") govern your use of the ToolShed platform operated by Envalt LLC (d/b/a ToolShed) ("ToolShed," "we," "us," or "our"), including our mobile application and website at toolshed.cc (collectively, the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms.

You must be at least 18 years old to use ToolShed. By using the Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Providing accurate and current information in your profile
• Notifying us immediately of any unauthorized use of your account

You may not create multiple accounts, impersonate others, or use another person's account without authorization.

ToolShed is a marketplace that connects tool owners ("Lenders") with people who want to rent tools ("Renters"). ToolShed is not a party to any rental agreement between Lenders and Renters. We do not own, control, or inspect any tools listed on the Platform.

ToolShed does not guarantee the condition, safety, legality, or suitability of any listed tool. Users are solely responsible for evaluating tools and making informed rental decisions.

As a Lender, you agree to:

• List only tools that you own or have the right to rent out
• Provide accurate descriptions, photos, and pricing for your tools
• Ensure tools are in safe, working condition before each rental
• Respond to booking requests within 24 hours
• Make tools available for the agreed-upon rental period
• Comply with all applicable local laws and regulations regarding tool rental

As a Renter, you agree to:

• Use rented tools only for their intended purpose
• Return tools in the same condition as received (normal wear and tear excepted)
• Return tools by the agreed-upon date and time
• Follow all safety guidelines and manufacturer instructions for tool use
• Not sublease or allow third parties to use rented tools
• Report any damage, malfunction, or safety concerns immediately

ToolShed charges a 15% service fee, deducted from the rental amount. There are no additional fees for renters.

All payments are processed through Stripe. Lenders receive payouts after the rental is completed. By using the Platform, you agree to Stripe's terms of service for payment processing.

Prices are set by Lenders and displayed in US Dollars. ToolShed reserves the right to modify its fee structure with 30 days' notice to users.

Cancellation policies are as follows:

• Pending bookings: Either party may cancel without charge before the booking is confirmed
• Confirmed bookings (Renter cancels): Full refund if cancelled 24+ hours before the rental start time
• Lender cancels: Full refund to the Renter in all cases
• Tool not provided: Full refund plus potential platform credit to the Renter

Refunds are processed through Stripe and typically appear within 5-10 business days.

Renters are responsible for any damage to, loss of, or theft of rented tools during the rental period. In the event of damage or loss:

• The Renter should report the issue immediately through the Platform
• The Lender may file a dispute through the Platform with supporting evidence
• ToolShed will facilitate resolution between the parties
• If unresolved, ToolShed may make a determination based on available evidence

ToolShed is not an insurer and does not provide coverage for tool damage, loss, or theft.

If a dispute arises between a Renter and Lender, either party may file a dispute through the Platform. ToolShed will review disputes and may:

• Issue a full or partial refund
• Issue platform credit
• Take no action if the dispute is unfounded

ToolShed's dispute resolution decisions are made in good faith based on available evidence. Our decisions are final for disputes resolved through the Platform.

The following may not be listed or rented through ToolShed:

• Weapons, firearms, or explosives
• Illegal substances or drug paraphernalia
• Items that are stolen or that you do not have the right to rent
• Items that are recalled or known to be unsafe
• Vehicles or items requiring a special license to operate (unless clearly stated)

Users may not use the Platform for any illegal purpose, to harass other users, to post misleading or fraudulent listings, or to circumvent the Platform's payment system.

You retain ownership of content you post on ToolShed (listings, photos, reviews, messages). By posting content, you grant ToolShed a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating the Platform.

Reviews must be honest and based on actual rental experiences. ToolShed reserves the right to remove reviews that violate these Terms or our community guidelines.

You may delete your account at any time through the app (Profile > Account > Delete Account). ToolShed may suspend or terminate your account if you:

• Violate these Terms or applicable laws
• Engage in fraudulent or abusive behavior
• Repeatedly receive negative reports from other users
• Attempt to circumvent the Platform's payment or safety systems

To the maximum extent permitted by law, ToolShed and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

• Personal injury or property damage resulting from tool use
• Loss of profits or revenue
• Loss of data
• Service interruptions or errors

ToolShed's total liability for any claim arising from these Terms shall not exceed the amount of fees you paid to ToolShed in the 12 months preceding the claim.

You agree to indemnify and hold harmless ToolShed and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought in the state or federal courts located in Wyoming.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
